EXPLORATORY STUDY ON THE DIFFICULTIES FACED BY THE BOARD OF DIRECTORS IN THE APPLICATION OF THE CORPORATE GOVERNANCE CODE

Abstract


Objective: The study aims to identify the difficulties faced by the board of directors in the effective application of the corporate governance code in organizations.

Methodology: The research carried out has a qualitative and exploratory characteristic, carried out by applying semi-structured interviews to a group of eight professionals chosen by the criterion of relevance of their experiences as members of boards of directors. The information obtained in the interviews was classified into thematic blocks and submitted to content analysis. Results: It was possible to identify, from the perspective of these professionals, what are the relevant difficulties for the effective application of the code by organizations.

Contributions: Overcoming these barriers, which are related to the context and dissemination of the code, to the practices adopted by the boards of directors, to the position of directors, shareholders and regulatory bodies in the market, can contribute to the evolution of the quality of corporate governance in Brazil.
