GOVERNANÇA CORPORATIVA E COMPLIANCE: DISTINÇÕES RELEVANTES SOBRE UM PROBLEMA COMUM

Resumo

Objetivos: O presente artigo busca marcar distinções conceituais e práticas importantes nos institutos da governança corporativa e do compliance e destacar suas semelhanças no combate à corrupção.

Metodologia: Através de revisão bibliográfica e análise da legislação pertinente à temática, primeiramente, se explorou as distinções entre corrupção, governança e compliance em suas definições teóricas. A partir disso, fora identificado como governança e compliance, aplicados na gestão empresarial, podem colaborar no combate à corrupção.

Resultados: Observa-se que com a criação de legislações mais complexas, com a atuação de organizações internacionais que promovam recomendações e resoluções específicas para a corrupção, bem como com a gestão empresarial, é construído um movimento global que busca reduzir os efeitos perversos das práticas corruptivas.

Contribuições: O termo governança tem sido utilizado como jargão técnico de muitas áreas e na revisão bibliográfica não se vislumbrou um trabalho que tratasse especificamente de diferenciá-la em relação às suas diversas modalidades, bem como em relação às ações direcionadas ao compliance empresarial. Em razão deste fato, buscou-se apresentar as distinções identificadas e apresentar o que ambos os movimentos têm em comum no combate às práticas corruptivas, com enfoque na gestão empresarial.

ABSTRACT

Objective: This article seeks to mark important conceptual and practical distinctions in corporate governance and compliance institutes and to highlight their similarities in the fight against corruption.

Methodology: Through bibliographic review and analysis of legislation relevant to the subject, the distinctions between corruption, governance and compliance in their theoretical definitions were first explored. From this, it had been identified how governance and compliance, applied in business management, can collaborate in the fight against corruption.

Results: It is observed that with the creation of more complex legislation, with the action of international organizations that promote specific recommendations and resolutions for corruption, as well as with business management, a global movement is built that seeks to reduce the perverse effects of corrupt practices.

Contributions: The term governance has been used as technical jargon in many areas and the literature review did not envisage a work that specifically aimed to differentiate it in relation to its various modalities, as well as in relation to actions directed to corporate compliance. Due to this fact, we sought to present the identified distinctions and present what both movements have in common in the fight against corruptive practices, focusing on business management.
