BOA-FÉ OBJETIVA NOS CONTRATOS EMPRESARIAIS: O CASO DA CIA NACIONAL DE TECIDOS DE JUTA

O presente artigo tem como objetivo debater o princípio da boa-fé nos contratos empresariais, tendo como referencial o caso da Cia. Nacional de Tecidos de Juta vs. Cia Paulista de Aniagens. Nesse contexto, as autoras revisam o conceito boa-fé objetiva e da pós-eficácia das obrigações. A metodologia de abordagem é analítica, empírica e crítica: parte-se da análise de conceitos jurídicos e doutrinários, segue-se para uma verificação empírica, diante de caso prático, e desenvolve-se, por fim, crítica argumentativa com esteio no direito obrigacional. Têm-se como resultados esperados comprovar que, nos contratos comerciais, devem ser observados os deveres de conduta decorrentes do princípio da boa-fé; não há mitigação dos deveres anexos aos negócios jurídicos, no âmbito empresarial, apenas uma eficácia diferenciada.

ABSTRACT

The purpose of this article is to discuss the principle of good faith in business contracts, having as reference the case of the National Jute Fabrics Co. Cia Paulista de Aniagens. In this context, the authors review the concept of objective good faith and posteffectiveness of obligations. The approach methodology is analytical, empirical and critical: it starts with the analysis of legal and doctrinal concepts, it follows for an empirical verification before a practical case and develops, finally, argumentative criticism with a focus on the obligacional right. The expected results are to show that in the commercial contracts must be observed the duties of conduct arising from the principle of good faith; There is no mitigation of the duties attached to the legal business in the business sphere, only a differentiated effectiveness.
