O presente trabalho tem como objetivo analisar os principais aspectos da Lei 12.441 de 11 de julho de 2011, que introduziu a figura da Empresa Individual de Responsabilidade Limitada no ordenamento jurídico brasileiro, mediante alteraçãodo Código Civil de 2002. Inspirada pela legislação estrangeira, as normas da EIRELI criaramuma nova pessoa jurídica que visa possibilitar a constituição de uma empresa por um único empreendedor e com limitação de responsabilidade. Contudo, a imprecisão do texto legal trouxe interpretações divergentes à aplicação prática do instituto, sobretudo no tocante à legitimidade das pessoas jurídicas para constituir uma EIRELI e com relação à constitucionalidade e proporcionalidade dos seus dispositivos referentes ao capital social. Diante dos desafios impostos pela nova legislação, dos Projetos de Lei que visam sua reforma, da Ação Direta de Inconstitucionalidade que questiona seus requisitos e da iminência de um Novo Código Comercial, faz-se necessária a análise da viabilidade prática desta nova figura de Direito Empresarial.

Abstract

This paper aims the analysis of the main aspects ofthe law 12.441/2011, which introduced the Individual Limited Liability Company to the Brazilian legislation, through the Civil Code of 2002. Inspired by the foreign law, the EIRELI created a new legal entity that enables the creation of a LLC by an individual entrepreneur. However, the dimness of the law 12.441/2011 brought differing interpretations to the practical application of the institution. Considering the challenges imposed by the new law, by the bills that aim its reform, by the Constitutional Suit that questions the validity of its requirements and by the imminence of a new business law codification, it’s considered necessary to analyze the practical feasibility of this new institution in Corporate Law.
