A GOVERNANÇA CORPORATIVA E A RESPONSABILIDADE SOCIAL EMPRESARIAL – VISÃO HISTÓRICA E CRÍTICA DOS PRINCIPAIS INSTITUTOS

Resumo

RESUMO 

Este trabalho tem como objetivo discorrer a respeito da evolução histórica da governança corporativa no cenário nacional e internacional, para que sejam apresentadas as bases de sua origem e desenvolvimento. Para tanto, analisam-se brevemente os institutos existentes no direito comparado, que ajudaram a compor os principais elementos atuais desse tema. Na sequência, passa-se a estudar a disciplina específica do tema no Brasil, apontando-se as principais controvérsias e aplicações desse instituto nos dias atuais. O presente trabalho adota o método dedutivo e a pesquisa para sua elaboração é de cunho predominantemente bibliográfica, de caráter jurídico-teórico e exploratório. Envolverá a análise de legislação, além de estudos doutrinários e exame de artigos em periódicos e de dados empíricos disponibilizados por entidades oficiais e de autorregulação.

ABSTRACT

The aim of this paper is to examine the historical evolution of corporate governance, created within the business in order to present the foundations of its origin and development in the law. For this purpose, this paper will briefly analyze the existing institutions in international experience, which helped to write the current main elements of this theme. Finally, this paper will present the legal discipline of the corporate governance in Brazil, pointing up the main controversies and applications of this institute today. The present work adopts the deductive method and the research for its elaboration is predominantly bibliographical, of legal-theoretical and exploratory nature. It will involve the analysis of legislation, as well as doctrinal studies and examination of articles in periodicals and of empirical data made available by official and self-regulation entities.
